Spell & Ink Affiliate Terms & Conditions

These Affiliate Program Terms and Conditions (“Agreement”) govern participation in the Spell & Ink Affiliate Program (“Program”).
By applying to and participating in the Program, you (“Affiliate”) agree to be bound by this Agreement.
1. Enrollment & Participation
1.1 Eligibility
Participation is open worldwide to individuals and businesses.
Spell & Ink reserves the right to approve or reject any affiliate application at its sole discretion, without obligation to provide reasoning.
Approval may be revoked at any time if the Affiliate no longer aligns with the brand’s values or standards.
1.2 Affiliate Dashboard
Upon approval, Affiliates will receive access to an affiliate dashboard to track referral links, commissions, and payout history.
Affiliates are responsible for maintaining accurate account and payment details.
2. Affiliate Responsibilities
2.1 Marketing Conduct
Affiliates may promote Spell & Ink products through appropriate and ethical marketing channels.
The following are strictly prohibited:
- False, misleading, or exaggerated claims
- Spam or unsolicited mass messaging
- Misrepresentation of products or brand
- Unauthorized paid advertising using Spell & Ink brand terms
- Any unlawful, deceptive, or unethical marketing practices
Spell & Ink promotes emotionally intelligent, sovereign business practices. Affiliate conduct must reflect this standard.
2.2 Use of Branding
Affiliates are granted a limited, non-exclusive, revocable license to use Spell & Ink branding, logos, and approved promotional materials solely for the purpose of promoting Spell & Ink products.
Affiliates may not:
- Modify logos in misleading ways
- Claim ownership of branding
- Represent themselves as official representatives or employees
All intellectual property remains the exclusive property of Spell & Ink.
2.3 Legal Compliance
Affiliates must comply with all applicable laws and regulations, including but not limited to:
- Data protection laws (including GDPR where applicable)
- Advertising and disclosure requirements (including FTC or relevant regional guidelines)
Affiliates are responsible for properly disclosing affiliate relationships where required by law.
3. Commissions & Payments
3.1 Commission Structure
Affiliates earn commission on valid sales generated through their unique referral link.
Current standard commission rates: 30% on all valid sales.
A valid sale is defined as a completed, paid transaction that is not refunded or flagged as fraudulent.
Spell & Ink reserves the right to adjust commission structures at any time, with notice.
3.2 Tracking & Cookies
Sales are tracked using cookies valid for 30 days from the first click.
This program operates on a first-click attribution model. If a customer clicks your link first, you will receive commission even if they later click another affiliate link within the cookie period.
Spell & Ink is not responsible for tracking issues caused by browser settings, cookie blocking, or third-party technical limitations.
3.3 Payment Terms
Commissions are paid weekly, typically on a Saturday, via PayPal unless otherwise specified, with a delay of 7 days to allow for refund requests/chargebacks etc.
Spell & Ink may update payout frequency in the future, and this section will be amended accordingly.
There is currently no minimum payout threshold.
Affiliates are responsible for:
- Maintaining accurate payment information
- Any transaction or transfer fees
If payment delays occur, affiliates will be notified.
4. Termination & Account Suspension
4.1 Termination Rights
Spell & Ink reserves the right to suspend or terminate any affiliate account at any time, with or without notice, for:
- Fraudulent activity
- Breach of this Agreement
- Conduct harmful to the brand
- Misalignment with brand values
4.2 Effect of Termination
Upon termination:
- The Affiliate must immediately cease use of all branding and promotional materials.
- Unpaid commissions associated with fraudulent, refunded, or invalid sales may be forfeited.
5. Intellectual Property
All trademarks, branding, digital products, content, and intellectual property remain the exclusive property of Spell & Ink.
Affiliates are granted no ownership rights under this Agreement.
6. Limitation of Liability
Spell & Ink shall not be liable for any indirect, incidental, consequential, or special damages, including loss of profits, revenue, or data arising from participation in the Program.
Participation is at the Affiliate’s own risk.
7. Modification of Terms
Spell & Ink reserves the right to modify these Terms at any time.
Updated Terms become effective immediately upon publication. Continued participation in the Program constitutes acceptance of any revisions.
8. Relationship of Parties
Nothing in this Agreement creates:
- A partnership
- A joint venture
- An employment relationship
- An agency relationship
The Affiliate is an independent contractor and may not represent themselves as an employee or official representative of Spell & Ink.
9. Governing Law
This Agreement shall be governed by applicable laws of the United Kingdom.
As Spell & Ink operates globally and sells digital products internationally, disputes may be addressed in an appropriate legal venue as determined by Spell & Ink.
